Partner Rewards Program Terms and Conditions

ARTICLE 1 – DEFINITIONS

1.1 Definitions

In these Terms and Conditions:

  • “Approved Member” means (a) (i) an eligible participant under section 2.1 or (ii) any other individuals or groups approved for membership by CIBC, and (b) whose enrolment application has been approved by the Program Administrator to participate in the Program on a non-exclusive basis, for the sole purpose of referring prospective Customers to a CIBC Mortgage Advisor with respect to mortgage products made available by or through CIBC;
  • “CIBC” means the Canadian Imperial Bank of Commerce and all of its subsidiaries and affiliates, including CIBC Mortgages Inc.
  • “Customer” means, individually or collectively, as the case may be, an actual or prospective applicant, co-applicant(s) and/or guarantor(s) to a Qualified Mortgage Referral.
  • “Eligible Property” means residential real estate and does not include raw land, commercial properties, or mobile or mini homes on leased land;
  • “Immediate Family Member” includes a spouse or common law partner, parents, sisters/brothers, children, parents-in-law, sisters/brothers-in-law, step-children, grandparents, step-sisters/brothers, grandchildren, legal dependents, or legal guardian of a CIBC Mortgage Advisor;
  • “Non-Points Member” means an Approved Member either: (i) located in the Province of Alberta; or (ii) who makes Recognized Mortgage Referrals to a CIBC Mortgage Advisor in relation to property located in the Province of Alberta;
  • “Non-Points Recognition” is a means of tracking a Recognized Mortgage Referral by a Non-Points Member under the Program. It does not constitute compensation or consideration of any kind. Non-Points Recognition has no monetary value, cannot be exchanged for any form of compensation, and is non-transferable to another person;
  • “Password(s)” means the combination of numbers and/or letters the Approved Member selects from time to time, for the Approved Member’s personal, protected and private use only, as a means of identifying the Approved Member and enabling the Approved Member to access information and functionality relating to the Approved Member’s Program Account;
  • “Pay with Points Service” means the service under the Program that allows Approved Members to redeem Points for rewards purchased from approved vendors in Canada as set out in Schedule A of the Terms and Conditions, under “Redemption Policies”;
  • “Program” means the Partner Rewards Program, as amended from time to time by the Program Administrator on behalf of CIBC, in its sole discretion;
  • “Program Account” means an account setup by the Program Administrator to maintain information about the Approved Member’s current and historic point balances and reward redemptions;
  • “Program Administrator” means Bond Brand Loyalty Inc.;
  • “Qualified Mortgage Referral” means the initial referral of a Customer by an Approved Member to a CIBC Mortgage Advisor that results in (a) a fully funded first mortgage on an Eligible Property by CIBC, except for any mortgage on property located in the Provinces of Alberta or Quebec or (b) a fully funded mortgage on an Eligible Property by a Third Party Lender through CIBC except for any mortgage on property located in the Provinces of Alberta or Quebec.A Qualified Mortgage Referral includes a mortgage referral in respect of (i) purchases, (ii) residential mortgages (on either owner occupied or rental property), and (iii) refinance or transfer in from other financial institutions.For greater certainty, a Qualified Mortgage Referral does not include:
    • mortgage referrals involving (i) subsidized mortgages, (ii) progress/multiple draw mortgages including new construction, (iii) refinance from CIBC, (iv) ports, (v) conversion or renewal of a mortgage placed with or through CIBC by the Approved Member;
    • mortgage referrals by a realtor, real estate broker or real estate brokerage owner if the realtor, real estate broker or real estate brokerage owner is not registered as a sales person or broker with the brokerage identified on the Agreement of Purchase and Sale as the listing brokerage and/or the buyer/co-operating brokerage on contract with the Customer;
    • mortgage referrals by an employee of an approved builder or approved developer if the employee is not identified on the builder Agreement of Purchase and Sale as the salesperson representing the Customer in the purchase;
    • mortgage referrals to a CIBC Mortgage Advisor by their Immediate Family Member; and
    • any mortgage not approved for eligibility by CIBC, in its sole discretion.
  • “Real Estate Brokerage” means the entity for whom a Realtor, who is an Approved Member, is doing business;
  • “Realtor” means an individual who holds active membership in a local real estate board and who is licensed to negotiate and transact the sale of real estate in Canada;
  • “Recognized Mortgage Referral” means the initial referral of a Customer by a Non-Points Member to a CIBC Mortgage Advisor that results in (a) a fully funded first mortgage on a property located in the Province of Alberta. A Recognized Mortgage Referral includes a mortgage referral in respect of (i) purchases, (ii) residential mortgages (on either owner occupied or rental property), and (iii) refinance or transfer in from other financial institutions.For greater certainty, a Recognized Mortgage Referral does not include:
    • mortgage referrals involving (i) subsidized mortgages, (ii) progress/multiple draw mortgages including new construction, (iii) refinance from CIBC, (iv) ports, (v) conversion or renewal of a mortgage placed with or through CIBC by the Approved Member;
    • mortgage referrals by a realtor, real estate broker or real estate brokerage owner if the realtor, real estate broker or real estate brokerage owner is not registered as a sales person or broker with the brokerage identified on the Agreement of Purchase and Sale as the listing brokerage and/or the buyer/co-operating brokerage on contract with the Customer;
    • mortgage referrals by an employee of an approved builder or approved developer if the employee is not identified on the builder Agreement of Purchase and Sale as the salesperson representing the Customer in the purchase,
    • mortgage referrals to a CIBC Mortgage Advisor by their Immediate Family Member; and
    • any mortgage not approved for eligibility by CIBC, in its sole discretion.
  • “Terms and Conditions” means this document together with all amendments, notices, lists, schedules or other documents (including the Program Policy & Guidelines set out in Schedule “A”) that the Program Administrator provides the Approved Members from time to time, and as amended from time to time by the Program Administrator on behalf of CIBC, in its sole discretion; and
  • “Third Party Lender” means a mortgage lender other than CIBC that has been approved by CIBC for referrals under the Program.

1.2 Interpretation

The division of these Terms and Conditions into Articles and Sections and the insertion of headings are for convenience of reference only and will not affect the construction or interpretation of these Terms and Conditions. Unless the context requires otherwise, words importing the singular include the plural and vice versa; words importing gender include all genders; and “including” means including without limitation. All references to money in these Terms and Conditions refer to Canadian funds.

1.3 Schedule(s)

The following Schedule(s) are attached and form part of these Terms and Conditions:
Schedule “A” PROGRAM POLICY & GUIDELINES

ARTICLE 2 – ELIGIBILITY AND AUTHORIZATION OF APPROVED MEMBER

2.1 Eligibility

The following individuals are eligible to participate in the Program, provided they are Canadian residents 18 years of age or older: a Realtor; a real estate broker; or a Real Estate Brokerage owner, provided such Real Estate Brokerage owner has not entered into an agreement with CIBC to participate in CIBC’s Business Referral Program (or any successor thereto) regarding mortgage referrals .
In addition, Canadian residents 18 years of age or older who are sales employees of approved builders or approved real estate developers, registered insurance brokers, certified financial planners, or chartered accountants, may participate in the Program but only in respect to Qualified Mortgage Referrals or Recognized Mortgage Referrals that result in a fully funded first mortgage on an Eligible Property by CIBC.

2.2 Ineligible Participants

The following individuals are not eligible to be Approved Members:

  • employees of CIBC or the Program Administrator or their respective affiliates;
  • mortgage brokers and their employees; and
  • any other individuals or groups not approved for membership by CIBC, in its sole discretion.

2.3 Approval

Provided the applicant meets criteria as determined by the Program Administrator and CIBC, once an application for membership has been received and processed by the Program Administrator, the applicant becomes an Approved Member.

ARTICLE 3 – OBLIGATIONS, WARRANTIES AND REPRESENTATIONS OF APPROVED MEMBERS

3.1 Obligations

Until the Terms and Conditions are terminated by the Program Administrator on behalf of CIBC, each Approved Member is obligated and covenants to:

  • always act honestly, ethically and in good faith;
  • be aware of and comply with all the applicable laws, regulations, rules, directives, professional codes of conduct and industry guidelines governing his/her performance under these Terms and Conditions or which may govern or impact the Approved Member’s ability to enter into or to participate in the Program in the Approved Member’s respective jurisdiction, including any real estate legislation, mortgage broker legislation, control of funds legislation such as the Proceeds of Crime (Money Laundering) and Terrorist Financing Act (Canada), consumer protection legislation and privacy legislation including the Personal Information Protection and Electronic Documents Act (Canada), all as amended from time to time;
  • provide confirmation in a manner and at intervals satisfactory to the Program Administrator that the Approved Member’s registration or license remains in good standing, if applicable, and immediately notify the Program Administrator of any change in the registration, license or insurance status of the Approved Member, including whether any registration, license or insurance has been suspended or terminated, if applicable;
  • be vigilant in screening prospective Customers for possible fraudulent or misrepresentation relative to the Customer’s identity and other information;
  • never use the name, logo or trademarks of the Program Administrator or CIBC in any advertising, promotional materials, communications or other materials (in any medium, including online), without the prior written approval of the Program Administrator and CIBC;
  • not make representations in relation to the products and services offered by CIBC;
  • promptly forward to CIBC any new information that the Approved Member receives from the Customer that is relevant to the Customer’s mortgage application, including changes of address and residency status, employment status and income;
  • notify the Program Administrator as soon as possible, when the Approved Member’s employment status changes, including instances where the Approved Member has been terminated or has moved to a different Real Estate Brokerage, if applicable; and
  • each Approved Member is responsible for notifying the Program Administrator of any change of address, member type or Real Estate Brokerage, where applicable. The Approved Member must also examine their statement page, including each entry and points balance, if applicable, recorded in it.

3.2 Approved Member Warranties and Representations

The Approved Member represents and warrants to and covenants with the Program Administrator and CIBC as follows, and acknowledges that the Program Administrator is relying on the following representations, warranties and covenants in allowing the Approved Member to participate in the Program:

  • the Approved Member will fulfill its obligations hereunder honestly and in good faith, exercising reasonable skill, care and diligence, in accordance with their recognized professional and industry standards, if applicable, including ensuring that they, or their authorized representatives, divulge in writing to the Customer, in a timely manner and in accordance with these Terms and Conditions, the fact that any eligible Qualified Mortgage Referral or Recognized Mortgage Referral entails compensation in the Approved Member’s favour, if applicable;
  • where required by law, the Approved Member will disclose to and has obtained approval from their employers of the fact that they are participating in the Program. Participants acknowledge that the Program Administrator may notify their employer of their enrollment as a participant in the Program;
  • where applicable, the Approved Member is and remains properly registered and/or licensed to deal in their industry in accordance with all applicable laws, regulations and administrative rules governing their activities in the province(s) in which they pursue their activities for the purposes of performing its obligations under these Terms and Conditions and such registration/license is currently and remains in good standing at all times necessary to perform its obligations under these Terms and Conditions; and
  • the Approved Member has the necessary power, authority and capacity to perform his or her obligations under these Terms and Conditions, and the Approved Member’s entry into these Terms and Conditions has been duly authorized by all necessary authorities, and once these Terms and Conditions are agreed to, the Approved Member will not be in violation of any of the laws, regulations, rules or directives governing their profession as a result of their entering into or participating in the Program.

ARTICLE 4 – CUSTOMER CONSENT AND ACKNOWLEDGEMENT

Without restricting the application of the other provisions of these Terms and Conditions, the Approved Member will obtain, in writing, each Customer’s written acknowledgement of, and consent to, the exchange of information (including personal information) between and among the Approved Member, the Program Administrator, CIBC and any Third Party Lenders. Further, the Participant, and all those for whom the Participant is responsible at law, will comply with any federal and provincial legislation and all regulations of any governing body or association with respect to (i) any collection, use or sharing of personal information; or (ii) disclosure, including rules governing the disclosure of conflicts of interest, commissions and referral fees, including the referral fees payable pursuant to the terms of this Agreement.

ARTICLE 5 – TERMINATION

  • On behalf of CIBC, the Program Administrator may terminate or suspend these Terms and Conditions, the Program or the Approved Member’s membership in the Program at any time, for any reason, including breach of any legal, regulatory or common law or any governmental body guideline or standard, or for no reason, in its sole discretion, without prior notice to the Approved Member. All points accrued, granted or outstanding to the affected Approved Member(s) will immediately be cancelled with no compensation and will no longer be redeemable by the Approved Member(s).
  • Abuse of the Program privileges or falsification of any information provided to the Program Administrator, will result in immediate termination of the Approved Member from the Program. All points accrued, granted or outstanding, to the Approved Member will immediately be cancelled with no compensation and will no longer be redeemable by the Approved Member.
  • In the event of an Approved Member’s death, the Approved Member’s participation in the Program is terminated. All points accrued, granted or outstanding to the Approved Member will immediately be cancelled with no compensation and will no longer be redeemable by the Approved Member.
  • If an Approved Member fails to earn any points within a period of twelve (12) consecutive months, the Program Administrator may terminate the Approved Member’s membership in the Program. All points accrued, granted or outstanding to the Approved Member will immediately be cancelled with no compensation and will no longer be redeemable by the Approved Member.

In the case of termination of this Agreement, otherwise than in accordance with Article 7.8 , the Program, or an Approved Member’s participation or membership in the Program, all points accrued, granted or outstanding, to the affected Approved Member(s) will immediately be cancelled with no compensation and will no longer be redeemable by the Approved Member(s). Neither the Program Administrator nor CIBC will have any liability for any loss or inconvenience suffered by an Approved Member, directly or indirectly, or any Customer, which may result from the termination of these Terms and Conditions, the Program or an Approved Member’s participation in the Program.

ARTICLE 6 – INDEMNITY

The Approved Member will indemnify, defend and hold harmless the Program Administrator, CIBC and their respective affiliates, directors, officers, employees, agents, successors and assigns (collectively, “Program Indemnitees”) from and against any and all loss, liability, claim, demand, suit, action, damage or expense, whether direct, indirect or consequential, and including legal fees on a solicitor/client basis, which may be brought against them arising from or in connection with, directly or indirectly, in respect of:

  • fraudulent or criminal conduct, errors or omissions, or misrepresentation whether done intentionally, negligently or otherwise, including any claim involving an apparent breach of these Terms and Conditions by the Approved Member;
  • any and all breaches by the Approved Member of any representations, warranties, covenants, terms or conditions of these Terms and Conditions;
  • all reasonable costs incurred in defending claims alleging that the Approved Members are employees of the Program Administrator, CIBC or their respective affiliates as well as any amounts found to be owed by them in respect of any taxes, employment insurance or Canada Pension Plan deductions or premiums, vacation pay, general or holiday pay, termination or severance pay or any other payments or benefits;
  • any non-compliance or alleged non-compliance by the Approved Member of any applicable law (regardless of whether or not a claim is successful); and
  • the failure by the Approved Member or the Approved Member’s Real Estate Brokerage, if applicable, to obtain the necessary consents required under Article 4 and applicable law.
    The Approved Member assumes all risks and liability inherent in the performance of its obligations hereunder and those of its Real Estate Brokerage, if applicable, and will take all necessary measures to avoid any damage to the Program Indemnitees.

ARTICLE 7 – GENERAL

7.1 Assignment

No Approved Member may assign its rights or obligations under or in the Program or these Terms and Conditions. CIBC, or the Program Administrator, on behalf of CIBC may assign or transfer all or any part of their respective rights or obligations under or in the Program or these Terms and Conditions, at any time and in their sole discretion.

7.2 Enurement

These Terms and Conditions will be binding upon and enure to the parties and their respective heirs, executors, administrators, successors and permitted assigns.

7.3 Severability

Any provision of these Terms and Conditions which is prohibited or unenforceable in any jurisdiction will, as to that jurisdiction, be ineffective to the extent of such prohibition or unenforceability and will be severed from the balance of these Terms and Conditions, all without affecting the remaining provisions of these Terms and Conditions or affecting the validity or enforceability of such provision in any other jurisdiction.

7.4 Waiver

No waiver of any default, breach or non-compliance under these Terms and Conditions will be effective unless in writing and signed by the party to be bound by the waiver. No waiver will be inferred from or implied by any failure to act or delay in acting by a party in respect of any default, breach or non-observance or by anything done or omitted to be done by the other party. The waiver by a party of any default, breach or non-compliance under these Terms and Conditions will not operate as a waiver of that party’s rights under these Terms and Conditions in respect of any continuing or subsequent default, breach or non-observance (whether of the same or any other nature).

7.5 Relationship

No relationship of principal and agent or partnership will exist between the Approved Member, the Program Administrator and Program Partners. The Approved Member and the Program Administrator and Program Partners will remain at all times independent from one another. In no event will the Approved Member be considered an agent, employee, partner, joint-venturer, consultant or contractor of the Program Administrator or the Program Partners.

7.6 Survival

Article 6 (Indemnity) will survive the termination or assignment of these Terms and Conditions and will continue to bind the Approved Members, their legal representatives, heirs, executors, successors and permitted assigns.

7.7 Entire Agreement

These Terms and Conditions and the Schedule(s) to these Terms and Conditions constitute the entire agreement between the parties with respect to the subject matter of these Terms and Conditions and contain all of the representations, undertakings and agreements of the parties. These Terms and Conditions supersede all prior negotiations or agreements between the parties, whether written or verbal, with respect to the subject matter of these Terms and Conditions.

7.8 Amendments

The Program Administrator, on behalf of CIBC, may propose to change, either permanently or temporarily, any term of the Terms and Conditions (including the Program Policy & Guideline) or replace these Terms and Conditions (including the Program Policy & Guideline) with other terms and conditions at any time. We will give you written notice of a proposed change and any other information required by law, at least 30 days before the change is stated to come into effect in the notice in accordance with the Communications section of Schedule A, the Program Policy & Guidelines. An Approved Member may refuse the change by terminating their membership in the Program by notifying the Program Administrator within 30 days of the effective date of the change. An Approved Member will have 30 days, or such other period of time as designated by the Program Administrator, from the date they notify the Program Administrator that they are terminating their membership as a result of the change to the Terms and Conditions (including the Program Policy & Guideline) to redeem any outstanding points. If the Approved Member does not redeem their outstanding points within 30 days of the date they notified the Program Administrator that they terminated their membership in the Program, all outstanding points will be immediately cancelled with no compensation and no longer redeemable under any circumstances. Continued membership in the Program means that Approved Members agree to accept the Terms and Conditions as amended.

7.9 Governing Law and Attornment

These Terms and Conditions will be governed by the laws of the Province of Ontario and the laws of Canada applicable therein. Each party agrees (a) that any legal proceeding relating to these Terms and Conditions may (but need not) be brought in any court of competent jurisdiction in the Province of Ontario, and for that purpose now irrevocably and unconditionally attorns and submits to the jurisdiction of such Ontario court.

ARTICLE 8 – PROGRAM ACCOUNT

The Approved Member will keep the Password(s) provided to the Approved Member by the Program Administrator confidential and take every precaution necessary to ensure that the Password(s) is never disclosed.

The Approved Member will, when choosing a Password, refrain from using all or any part of:

  • a password the Approved Member uses for any other service;
  • the name of the Approved Member or any close relative of the Approved Member;
  • the birth date, telephone number or address of the Approved Member or any close relative of the Approved Member; or
  • the Approved Member identification number of the Approved Member.

ARTICLE 9 – CONSENT TO COLLECTION, USE AND DISCLOSURE OF PERSONAL INFORMATION

Each of the Program Administrator and CIBC (“we”, “us”, and “our” for the purposes of this Article 9) may collect, use and disclose personal information about Approved Members (including, for the purposes of this Article 9, Approved Member applicants) throughout our relationship to:

  • administer the Program, including establishing and managing Approved Member accounts,
  • promote, manage and process Approved Member redemptions,
  • invoice Approved Members and suppliers of products or services for the Program,
  • enable Approved Members to participate in marketing promotions and contests,
  • understand and analyze the Program and our business,
  • to detect and protect against error, fraud and other business risks, and
  • comply with legal and regulatory requirements.

The Program privacy policy available at partnerrewardsprogram.com/Privacy.aspx, describes how we collect, use, disclose, and retain personal information in connection with the Program. From time to time, we may offer Approved Members products and services, including special promotions, that we believe will be of interest to Approved Members through direct mail, telephone, e-mail or other means. This direct marketing consent is optional and the Approved Member can decide to withdraw it at any time by calling the toll free number of the Program Administrator available on the Program website.

If the Approved Member’s participation in the Program requires approval by an employer or other third party, we may share the Approved Member’s information with them in connection with the Approved Member’s participation in the Program.

As part of the Approved Member application process and throughout our relationship with the Approved Member, we may obtain personal information from and provide personal information to third parties about the Approved Member (including previous and current employers, regulators and self-regulatory organizations, industry and other third party databases) for the purposes of conducting checks to confirm the Approved Member’s credentials and suitability to provide referrals to CIBC.

We may share information about Approved Members with our affiliates for legal and regulatory purposes, to manage fraud and other business risks, and to ensure we have correct and up to date information about the Approved Member, such as the Approved Member’s current address.

BY ENROLLING IN THE PROGRAM, EACH APPROVED MEMBER ACKNOWLEDGES AND CONFIRMS THE FOLLOWING:

  • You have read and understood these Terms and Conditions and agree to be bound by them. You understand and acknowledge that these Terms and Conditions apply to you AS WELL AS any of your representatives such as agents, assistants, associates and any other representatives, only to the extent that such individuals do not require licenses to deal in real estate. To the extent that such individuals are required by law to be licensed or registered, they must independently enroll in the Program;
  • You authorize the Program Administrator and CIBC to obtain from, provide to and exchange with, third parties, including your previous and current employers, applicable self-regulating organizations, third party databases, and government bodies responsible for the regulation of mortgage brokers and broker member organizations, any relevant information relating to you and any matters you are directly or indirectly involved in, as determined by the Program Administrator, on behalf of CIBC, in its sole discretion, for the purposes of conducting checks to confirm your suitability to provide referrals to CIBC;
  • You consent to the collection, use and disclosure of your personal information as described in Article 9 of these Terms and Conditions;
  • A Program Account will be opened in your name; and
  • You have received, read and understood the Program Policy & Guidelines and agree to be bound by them.

SCHEDULE A – PROGRAM POLICY & GUIDELINES

Please read all information carefully as it forms part of the Terms and Conditions of the Program.

Operating Guidelines

  1. Membership in the Program requires approval from the Program Administrator. The Program is not available in Quebec. An Approved Member located in the Province of Alberta or an Approved Member who makes Recognized Mortgage Referrals to a CIBC Mortgage Advisor in relation to property located in the Province of Alberta can only be a Non-Points Member. On behalf of CIBC, the Program Administrator reserves the right, in its sole discretion, to determine whether an Approved Member is a Non-Points Member.
  2. Membership in the Program is for the individual’s benefit only and will be maintained in the name of the individual approved as the Approved Member.
  3. Each Approved Member is assigned a unique Program Account number which is used for all inquiries and servicing needs regarding the Program.
  4. Once an Approved Member, other than a Non-Points Member, points will begin to accrue with the next Qualified Mortgage Referral submitted to a CIBC Mortgage Advisor by the Approved Member. In the case of a Non-Points Member, recognition will result from the next Recognized Mortgage Referral submitted to a CIBC Mortgage Advisor by the Non-Points Member.
  5. Points are based on the Qualified Mortgage Referral details at the time of funding. Points are only awarded for fully funded mortgages, as confirmed by CIBC. Non-Points Members are not eligible to receive points, or any form of compensation or consideration under the Program.
  6. Points are assigned on an individual basis only. If the Approved Member is a Realtor and moves to a different Real Estate Brokerage, the Approved Member’s accumulated points are retained by the Approved Member.
  7. Points are non-transferable and non-divisible under any circumstances, including in the event of an Approved Member’s separation or divorce. Under no circumstances will the conversion of points to other loyalty programs be permitted. Points cannot be transferred to other loyalty or reward programs offered by the Program Administrator, CIBC or their respective affiliates.
  8. The Program Administrator reserves the right to revoke any points, whether or not granted, in its sole discretion and without prior notice to the Approved Member.

Enrolment

  1. An Approved Member’s enrolment in the Program will be activated once they have completed and submitted an online enrolment form and electronically acknowledged and accepted the Terms and Conditions using the Program web site at www.partnerrewardsprogram.com.
  2. When completing the online enrolment form, Approved Members who are Realtors must identify themselves as Realtors and provide the Program Administrator with all of the information it requires to establish the Realtor’s Program Account based on the authorization of the Realtor’s Real Estate Brokerage.
  3. Employees of the Program Administrator, CIBC and their respective affiliates, are not eligible to enroll in the Program.

Earning and Reporting Points

For all Approved Members other than Non-Points Members:

  1. The Approved Member’s Program Account is awarded points for each Qualified Mortgage Referral.
  2. An Approved Member will not receive any points for any referrals that are made prior to the Approved Member’s enrolment in the Program, even if they are Qualified Mortgage Referrals.
  3. Points will be granted on Qualified Mortgage Referrals at a rate of 750 points for every $10,000 of mortgage principal resulting from each Qualified Mortgage Referral.
  4. At the time the Qualified Mortgage Referral funds, the Approved Member’s Program Account must be in good standing. An Approved Member’s Program Account will be in good standing if the Approved Member has actively earned points in the last twelve (12) consecutive months and has complied with all the Terms and Conditions of the Program, in the sole discretion of the Program Administrator. The Approved Member will obtain the express consent of Customers prior to referring them to a CIBC Mortgage Advisor.

Point Verification

For all Approved Members other than Non-Points Members:

  1. The Program Administrator will include each Approved Member’s points activity on the Approved Member’s statement page which will be available to view online at www.partnerrewardsprogram.com.
  2. The points earned by the Approved Member for each Qualified Mortgage Referral will be updated on the Approved Member’s statement page on a monthly basis. Redemption of Approved Members’ points and any point adjustments will be reflected on the Approved Member’s statement page.
  3. The Approved Member must notify the Program Administrator in writing (via letter or email) of any errors, omissions, or objections to the Approved Member’s statement page, or an entry or balance recorded in it, within sixty (60) days from the date of the transaction in question on the Approved Member’s statement page. If the Approved Member does not notify the Program Administrator as required, the Approved Member’s statement page will be deemed to be accurate, entries and balances as complete, correct and binding on the Approved Member and the Program Administrator and CIBC will be released from all claims by the Approved Member in respect of the Approved Member’s statement page, entries and balances and the awarding of points.
  4. The Program Administrator reserves the right to remove points that were awarded in error.

Redemption Policies

  1. Points are not redeemable for cash under any circumstances.
  2. Points are only redeemable for merchandise or service rewards offered through the online rewards catalogue or other reward sources which the Program Administrator designates from time to time, including the Pay with Points Service.
  3. An Approved Member may only redeem points if their membership in the Program is in good standing, as determined by the Program Administrator in its sole discretion. An Approved Member’s Program Account will be in good standing if the Approved Member has actively earned points in the last twelve (12) consecutive months and has complied with all the Terms and Conditions of the Program, in the sole discretion of the Program Administrator.
  4. If the Program Administrator improperly denies an Approved Member a reward, the Program Administrator’s liability will be limited to the Canadian dollar cash equivalent of that reward.
  5. In order to successfully redeem points, the Approved Member must have sufficient points in their Program Account at the time of the request for redemption and at the time the redemption request is processed. Requests for redemption will be processed and rewards will be mailed to the Approved Member within three to four weeks of ordering. Reward shipments cannot be made outside of Canada.
  6. Points may not be transferred, shared, gifted, pooled or assigned, and must be redeemed by the Approved Member themselves.
  7. Under the Pay with Points Service, Approved Members cannot redeem points for any reward: (i) with associated depreciation and liability risks, including motor vehicles, gambling, medical and related expenses, art, animals, land, real estate, loans and credit cards, and (ii) Cannabis products.
  8. Under the Pay with Points Service of the Program, invoices must be submitted for redemption in Canadian dollars and must be from a vendor approved by the Program Administrator, located in Canada. Redemption eligibility for all items offered under the Pay with Points Service is at the sole discretion of the Program Administrator.
  9. The Pay with Points Service may be subject to service charges payable by the Approved Member.

Return Policies

  1. Physical gift cards and digital gift cards cannot be returned or exchanged once the Approved Member has placed an order on the Partner Rewards Program website and points have been redeemed from their Program Account.
  2. Merchandise reward returns for merchandise or service rewards offered through the online rewards catalogue will only be accepted by the Program Administrator provided that:
    • Approved Members notify the Program Administrator within 2 business days of receipt of a reward item (1 business day of receipt in the case of a food reward item) of their intent to return the reward item.
    • Returned reward items must be received by the Program Administrator within 10 business days of initial receipt of return instructions from the Approved Member and must be accompanied by a return authorization number.
    • Each returned reward item must be in the original manufacturer’s sealed packaging and accompanied by a copy of the original pick ticket or return instructions.
    • Each reward item must be in re-saleable condition, excepting an item identified as defective at the time of return notification. Where a reward item is returned for any reason other than a defect, then a re-stocking fee will apply. The Approved Member is responsible for all return shipping charges.
    • Defective reward items will be replaced by the Program Administrator upon receipt of the returned reward item per the return instructions.

    Reward items will not be accepted for return or exchange if the process outlined above is not followed.

  3. If the Approved Member returns or exchanges an item that is not defective, the points will be refunded, and the Approved Member will have to place a new order, as outlined above.
  4. Reward item defects that have been identified after initial use will not be accepted for return and should be handled directly by the Approved Member according to the applicable manufacturer’s warranty.
  5. All returned reward items are subject to the inspections and approval of the Program Administrator, acting reasonably.

Exclusion of Liability

  1. In no event will the Program Administrator and CIBC be liable or responsible for, and the Approved Member releases the Program Administrator and CIBC and their respective affiliates, subsidiaries, officers, directors, employees and agents, from all claims in respect of any loss or damage suffered by the Approved Member or others , including claims in respect of loss or damage suffered by the Approved Member or others that is caused by:
    • Failure by the Program Administrator to provide the Approved Member with points statements;
    • Any errors or omissions in the online reward catalogue(s) and other reward sources, including the Pay with Points Service;
    • Redemption of the Approved Member’s points or any problem that the Approved Member or others have in connection with the reward that the Approved Member obtains by redeeming their points. By redeeming their points, the Approved Member releases the Program Administrator and CIBC from any and all liability and claims regarding the redemption of points;
    • Loss or theft of merchandise, gift certificates/cards or experiential reward award vouchers;
    • Suspension or termination of the Program for any reason;
    • Suspension or termination of the Approved Member’s membership in the Program, the closing of the Approved Member’s Program Account or the forfeiture or invalidation of any or all of the Approved Member’s points;
    • Cancellation of the Approved Member’s experiential award, or gift certificates/cards;
    • Failure by the Program Administrator to provide the Approved Member with information which results in experiential reward arrangements that have a higher cost or differ in any way from arrangements which may be available through other sources; and
    • The performance or action of a reward supplier in any way, including the failure of any reward supplier to perform as described, or cancellation or if a service or an experiential reward becomes unavailable for any reason whatsoever, including acts of war or other force majeure causes.

    Should circumstances beyond the Program Administrator’s control result in a reward supplier’s failure to provide a reward, the Program Administrator may attempt, but is under no obligation to, provide a suitable replacement reward. In the alternative, the Program Administrator may, but is under no obligation to, credit the points back to the Approved Member’s Program Account, and if applicable, to the Approved Member’s credit card account as well, but will not assume any costs the Approved Member may incur relating to that reward. Under no circumstances will the Program Administrator, CIBC, or their respective affiliates, subsidiaries, officers, directors, employees and agents, be responsible for any consequential, exemplary, incidental or indirect damages.

  2. The Approved Member acknowledges that the rewards offered through the Program are manufactured and/or provided by independent suppliers. Neither the Program Administrator nor CIBC make any guarantees, warranties, representations or endorsements of any kind, expressed or implied, with respect to such rewards, or any supplier of a reward, nor will the Program Administrator, CIBC or any of their respective affiliates, subsidiaries, officers, directors, employees and agents be liable for any injury, damage or loss to person or property, for any expense, accidents or inconvenience that may arise in or from or relating to a reward. The Approved Member releases the above mentioned parties from any and all claims arising from the reward they obtain by redeeming points.
  3. While the Program Administrator takes care in choosing suppliers, Approved Members acknowledge that each of the Program Administrator and CIBC makes no endorsement or approval of any suppliers or the products, services, information, advice or opinions supplied, expressed or implied by them.

Other Terms

  1. There may be financial and tax implications resulting from the Program, as the rewards granted under the Program may constitute taxable benefits. The Program Administrator encourages each Approved Member to seek independent advice from their financial and tax advisors in order to understand the impact on the Approved Member’s individual tax situation. Approved Members are solely responsible for reporting all information for tax purposes and acknowledge that the Program Administrator and CIBC are under no obligation to do so. The Program Administrator expressly disclaims any responsibility for, or liability in respect of, any tax or financial implications which result from the Approved Member’s participation in the Program. Any and all federal and/or provincial tax liability arising from the receipt of rewards is solely the responsibility of the Approved Member.
  2. The rewards offered under the Program are subject to addition, deletion, or revision by the Program Administrator at any time, without notice. The Program Administrator, on behalf of CIBC, determines in its sole discretion the number of points required for redemption of any reward offered under the Program and may increase or decrease the number of points required for redemption of any reward at any time and without notice.
  3. In the event of a dispute, the Program Administrator will be the final authority as to the interpretation of the Terms and Conditions of the Program. Decisions by the Program Administrator as to the Terms and Conditions of the program are final and binding and are not subject to appeal.

Communications

  1. The Program Administrator may send all notices to Approved Members by posting them on the Program web site at www.partnerrewardsprogram.com, or by ordinary mail or email, directed to the Approved Member’s address last appearing in the Program Administrator’s records. Approved Members must tell the Program Administrator at once about any changes in their address. Approved Members must update their information promptly by editing their profile at www.partnerrewardsprogram.com. The Program Administrator is entitled and will rely on the information indicated on the Approved Member’s profile at www.partnerrewardsprogram.com
